These Terms & Conditions ("Terms") govern your access to and use of the Coregent IT website, services, software, applications, digital products, and related services.

By accessing our website, submitting an enquiry, engaging our services, entering into a project agreement, or otherwise using our services, you acknowledge that you have read, understood, and agreed to these Terms.

If you do not agree with these Terms, please do not use our website or services.

1. About Coregent IT

Coregent IT provides technology and digital services, which may include:

The specific services provided to a client will be determined by the applicable proposal, quotation, Statement of Work ("SOW"), project agreement, purchase order, or other written agreement.

2. Website Use

You may use our website only for lawful purposes.

You agree not to:

  • Use the website for unlawful, fraudulent, deceptive, or malicious activities;
  • Attempt to gain unauthorized access to our website, systems, servers, APIs, databases, or networks;
  • Introduce viruses, malware, malicious scripts, or other harmful code;
  • Interfere with the operation, security, or availability of the website;
  • Copy, reproduce, modify, distribute, sell, or exploit our website content without authorization;
  • Use automated systems to scrape or extract substantial website content without our written permission;

We reserve the right to restrict or terminate access to our website where we reasonably believe these Terms have been violated.

3. Project Engagements

Each client project may be governed by a separate quotation, proposal, SOW, service agreement, purchase order, or contract. Where a separate written agreement exists, that agreement will govern the specific commercial and project terms of the engagement.

If there is a conflict between these Terms and a signed written agreement, the signed agreement will prevail for that particular project.

4. Project Scope and Change Requests

Coregent IT will perform services according to the agreed scope. Requests that materially change the agreed scope may be treated as change requests or additional work.

Additional work may result in additional fees and/or changes to the project timeline.

5. Client Responsibilities

Clients are responsible for providing accurate, complete, and timely information required to perform the services. Delays caused by missing information, delayed approvals, unavailable credentials, third-party services, or other client-side dependencies may affect project timelines.

Clients are responsible for ensuring that materials supplied to Coregent IT do not infringe third-party intellectual property, privacy, publicity, or other rights.

6. Estimates and Timelines

Project timelines and estimates are generally based on information available at the time of estimation. Unless expressly stated otherwise in a written agreement, project timelines are estimates and not guaranteed delivery dates.

Coregent IT will make reasonable efforts to communicate material delays.

7. Payments and Invoicing

Fees, payment schedules, taxes, deposits, milestones, and other commercial terms will be specified in the applicable proposal, quotation, invoice, SOW, or agreement.

For customized software and development projects, payments already made may not be refundable to the extent they relate to work already performed, resources committed, or non-refundable third-party expenses, subject to the applicable agreement and law.

8. Third-Party Services

Our services may depend on third-party platforms, software, APIs, hosting providers, payment gateways, app stores, analytics platforms, advertising networks, cloud services, or other external providers.

Coregent IT does not control third-party services and cannot guarantee their continuous availability, pricing, policies, functionality, security, or future compatibility.

9. Software, Applications and Custom Development

For custom software, web applications, mobile applications, SaaS products, APIs, and other technology solutions, functionality will depend on the specifications agreed with the client.

Unless expressly agreed otherwise: Development does not guarantee that software will be completely error-free; Compatibility with every device, browser, operating system, API, or third-party service is not guaranteed; Future third-party platform changes may require additional development.

10. Testing and Acceptance

Clients are expected to review deliverables and provide feedback within the applicable review or acceptance period specified in the project agreement. A delay in providing feedback or approval may affect the project schedule.

11. Maintenance and Support

Unless expressly included in a written agreement, ongoing maintenance and support are not automatically included after project completion.

New features, redesigns, major functionality changes, and substantial modifications may be separately chargeable.

12. Intellectual Property

Unless otherwise agreed in writing, Coregent IT retains ownership of its pre-existing source code, frameworks, libraries, development tools, templates, components, internal systems, methodologies, processes, reusable code, design systems, know-how, and general technical concepts.

Client-specific deliverables and intellectual property ownership will be governed by the applicable project agreement.

13. Client Content and Materials

The client retains ownership of content and materials supplied by the client, subject to any rights granted to Coregent IT to use them for providing the services. The client is responsible for claims arising from content supplied by the client that infringes third-party rights or applicable laws.

14. Portfolio and Marketing Rights

Unless otherwise agreed in writing, Coregent IT may identify a completed project as part of its portfolio or marketing materials. Coregent IT will not intentionally publish confidential information or non-public proprietary materials without appropriate authorization.

15. Digital Marketing and SEO

Digital marketing, advertising, SEO, social media marketing, and related services involve external platforms and market conditions outside Coregent IT's complete control. Coregent IT does not guarantee specific search engine rankings, a specific number of leads, sales, advertising approval, or specific return on advertising spend.

16. User Content and Communications

If you submit information through our website, including enquiry forms, emails, messages, or other communication channels, you grant Coregent IT permission to use that information as reasonably necessary to respond to your enquiry and provide requested services. Personal information is handled according to our Privacy Policy.

17. Confidentiality

Each party may receive confidential information belonging to the other party during a project. The parties should protect confidential information and use it only for legitimate purposes related to the engagement. Where a separate Non-Disclosure Agreement ("NDA") is signed, the NDA will govern confidentiality obligations.

18. Security

Coregent IT will take reasonable technical and organizational measures appropriate to the services being provided. However, no internet-connected system, software, hosting environment, or electronic transmission can be guaranteed to be completely secure.

19. Disclaimer

Our website and general informational content are provided on an "as available" basis. To the extent permitted by applicable law, Coregent IT does not warrant that the website will always be available, error-free, or that information will always be complete or current.

20. Limitation of Liability

To the maximum extent permitted by applicable law, Coregent IT will not be liable for indirect, incidental, special, consequential, exemplary, or punitive damages, including loss of profits, revenue, business opportunities, goodwill, data, or anticipated savings arising from the use of our website or services.

21. Indemnification

To the extent permitted by law, you agree to indemnify and hold harmless Coregent IT, its directors, employees, contractors, and representatives from claims, damages, liabilities, losses, and expenses arising from your unlawful use of our website or services, your violation of these Terms, your infringement of third-party rights, or your violation of applicable laws or regulations.

22. Suspension and Termination

Coregent IT may suspend or terminate access to its website or services where reasonably necessary, including where these Terms are materially violated, fraudulent or unlawful activity is suspected, payments remain overdue, or a security risk exists.

23. Force Majeure

Coregent IT will not be responsible for delay or failure caused by circumstances beyond its reasonable control, including natural disasters, fire, flood, war, terrorism, government actions, internet or infrastructure failures, cyberattacks, major cloud-service outages, power failures, telecommunications failures, strikes, pandemics or public emergencies, or third-party service failures.

24. Links to Third-Party Websites

Our website may contain links to third-party websites or services. Such links are provided for convenience only. Coregent IT does not necessarily endorse or control those websites and is not responsible for their content, security, privacy practices, or availability.

25. Changes to These Terms

Coregent IT may update these Terms from time to time. Updated Terms will be published on this page with a revised "Last Updated" date. Your continued use of the website or services after an update may constitute acceptance of the revised Terms to the extent permitted by applicable law.

26. Governing Law and Jurisdiction

These Terms will be governed by the laws applicable in India. Subject to any mandatory legal requirements and any dispute-resolution provisions contained in a separate agreement, disputes relating to these Terms or our services will be subject to the jurisdiction of the appropriate courts in Hyderabad, Telangana, India.

27. Severability

If any provision of these Terms is found to be invalid, unlawful, or unenforceable, that provision will be modified or removed to the minimum extent necessary, while the remaining provisions will continue in effect.

28. Entire Agreement

These Terms, together with any applicable proposal, quotation, SOW, service agreement, NDA, purchase order, or other written agreement, constitute the applicable understanding between the parties regarding the services.
